Kanon is a software tool that assists with HTSUS tariff classification research. Kanon does not provide legal advice, customs brokerage services, or binding import compliance determinations. Classification outputs produced by Kanon are informational only. You are solely responsible for all import compliance decisions and their consequences.
1. Acceptance of Terms
By accessing or using the Kanon platform at kanontrade.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute the entire agreement between you and Kanon ("Company," "we," "us") regarding your use of the Service and supersede any prior agreements.
2. Description of Service
Kanon is a software-as-a-service platform that uses a deterministic classification engine to assist users in researching potential Harmonized Tariff Schedule of the United States (HTSUS) codes for imported products. The Service includes:
- A classification engine that applies the General Rules of Interpretation (GRI) to user-provided product information
- Reference to the HTSUS corpus as published by the United States International Trade Commission (USITC)
- A Classification Support Package summarizing the classification process and its outputs
- Tools for storing and managing product classification records
The Service is provided "as-is" as a research and documentation tool only.
3. No Legal Advice; No Professional Relationship
Kanon does not provide legal advice, customs brokerage services, or any other professional advisory service. No attorney-client relationship, broker-client relationship, or other professional relationship of any kind is created between you and Kanon by your use of the Service.
Classification outputs, reasoning traces, and Classification Support Packages generated by the Service are informational outputs of a software system. They are not legal opinions, regulatory determinations, or binding guidance from Kanon, from any government agency, or from any licensed professional.
If you require legal advice regarding import compliance, tariff classification, or customs matters, you should consult a licensed customs broker, trade attorney, or other qualified professional.
4. No Guarantee of CBP Acceptance
Kanon makes no representation, warranty, or guarantee that any HTS code, classification determination, or Classification Support Package produced by the Service will be accepted, upheld, or approved by U.S. Customs and Border Protection (CBP), the U.S. International Trade Commission, or any other government authority.
CBP retains the sole authority to determine the correct classification of any imported product. Kanon's outputs do not constitute a CBP ruling, a CBP decision, or a binding administrative determination of any kind. The Company expressly disclaims any liability for classifications that are rejected, revised, or overturned by CBP or any other authority.
5. User Responsibility for Compliance
You are solely and exclusively responsible for:
- Verifying the accuracy and completeness of all product information you submit to the Service
- Reviewing and independently evaluating all classification outputs before relying on them
- All final import compliance decisions, including the HTS code declared on any entry
- Payment of all correct duties, taxes, and fees owed on any import transaction
- Compliance with all applicable U.S. import laws, regulations, and CBP requirements
- Seeking qualified professional advice when the stakes of a classification decision warrant it
No output of the Service relieves you of these responsibilities. Kanon is a research tool, not a compliance substitute.
6. Corpus Accuracy and Currency
The Service relies on a corpus of HTSUS data derived from USITC publications. While we make reasonable efforts to keep the corpus current and accurate, we make no warranty that the corpus is complete, error-free, or up to date at the time you use the Service.
The HTSUS is amended frequently. New editions, Presidential proclamations, Congressional acts, USTR actions, and CBP rulings can alter tariff rates, product classifications, and applicable provisions on short or no notice. You are responsible for independently verifying that any classification output reflects the tariff schedule in effect at the time of your import entry.
Kanon is not liable for any classification error, duty underpayment, or compliance failure arising from a discrepancy between the corpus used by the Service and the HTSUS provisions in effect at any given time.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
- IN NO EVENT SHALL KANON, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO: DUTY UNDERPAYMENTS; CBP PENALTIES, FINES, OR ENFORCEMENT ACTIONS; SHIPMENT DELAYS OR SEIZURES; LOST PROFITS OR REVENUE; BUSINESS INTERRUPTION; OR LOSS OF DATA.
- KANON'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO KANON IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
- THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH A CLAIM IS BASED, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF KANON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
8. Indemnification
You agree to indemnify, defend, and hold harmless Kanon and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or reliance on any classification output, HTS code, or Classification Support Package produced by the Service
- Any import entry made in reliance on the Service's outputs
- Any duty underpayment, CBP penalty, or enforcement action arising from a classification made using the Service
- Your violation of these Terms
- Your violation of any applicable law, regulation, or third-party right
- Any product information you submit that is inaccurate, incomplete, or misleading
9. Force Majeure; Tariff and Regulatory Changes
Kanon is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to: acts of government; changes to tariff schedules, trade remedy actions, Presidential proclamations, or regulatory guidance; CBP policy changes; trade wars or sanctions; natural disasters; pandemic or epidemic conditions; labor disputes; power failures; or failure of third-party service providers.
The HTSUS and applicable trade remedy programs (including Section 301, Section 232, antidumping and countervailing duties, and IEEPA actions) are subject to change at any time with limited or no notice. Kanon does not guarantee that classification outputs will remain accurate following any such change, and is not liable for any consequences resulting from such changes.
10. Accounts and Access
You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
You may not use the Service for any unlawful purpose or in any manner inconsistent with these Terms. We reserve the right to suspend or terminate your access to the Service at any time, for any reason, without notice.
11. Intellectual Property
The Service, including its software, design, text, graphics, and all other content (excluding user-submitted product information and publicly available HTSUS data), is owned by or licensed to Kanon and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
You retain ownership of product information and descriptions you submit to the Service. By submitting such information, you grant Kanon a limited, non-exclusive license to use it for the purpose of providing the Service to you.
12. Termination
We may terminate or suspend your access to the Service at any time, without prior notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately.
All provisions of these Terms that by their nature should survive termination — including those relating to limitation of liability, indemnification, intellectual property, and governing law — shall survive termination.
13. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
To the extent permitted by applicable law, any claim arising out of these Terms must be brought within one (1) year of when the claim arose, or it is forever barred.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will post the updated Terms on this page with a new effective date. Your continued use of the Service after such posting constitutes your acceptance of the revised Terms.
